Terms of Service

Welcome to Verde. These Terms of Service govern your use of the Verde service. Please read them carefully.

1. Agreement to These Terms

These Terms of Service ("Terms") form a binding agreement between you (the "Customer," "you," or "your") and Verde Labs, Inc., a Delaware corporation ("Verde," "we," "us," or "our"). By creating an account, accessing the Verde service, or clicking "I accept" during signup, you agree to be bound by these Terms.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have that authority, do not accept these Terms. References to "you" and "Customer" mean both you individually and the entity you represent.

These Terms incorporate by reference our Privacy Policy and, where executed, our Data Processing Agreement ("DPA").

2. Eligibility

2.1 Business users only

Verde is a business-to-business (B2B) service. By using Verde, you represent and warrant that:

  • You are accessing the Service on behalf of a business entity (corporation, LLC, partnership, sole proprietorship operating as a business, or other legal entity engaged in commercial activity);
  • You are authorized to bind that business entity to these Terms;
  • You are at least 18 years of age; and
  • You will use the Service exclusively for business purposes, not for personal, household, or consumer purposes.

Verde does not knowingly provide the Service to individuals using it in a consumer or personal capacity. If you are an individual using Verde personally rather than as a business representative, do not create an account.

2.2 Geographic eligibility

Verde currently provides the Service only to customers located in and operating a business within the United States. By creating an account, you represent and warrant that you are accessing the Service from, and operate a business established in, the United States. If you are accessing from outside the US, the Service is not directed at you and you must not use it. See Privacy Policy §11.

2.3 Compliance and sanctions representation

You represent and warrant that: (a) you are not located in, organized under the laws of, or ordinarily resident in any country or region subject to comprehensive US sanctions or embargo; (b) you are not identified on any US government restricted-party or denied-party list (including the OFAC Specially Designated Nationals list); and (c) you will not use the Service in violation of any applicable export control or sanctions law.

3. The Service

3.1 What Verde provides

Verde provides an AI-powered financial reporting and analysis platform that:

  • Connects to your QuickBooks Online ("QBO") account via Intuit's OAuth 2.0 authorization;
  • Reads your financial data from QBO on a one-way basis (Verde does not write data back to QBO);
  • Produces automated financial reports, dashboards, variance analyses, cash flow forecasts, and AI-generated insights; and
  • Includes "Finn," an AI assistant accessible via the Verde portal and (optionally) your Slack workspace.

3.2 What Verde is NOT

Verde is not a licensed certified public accounting firm, registered investment adviser, attorney, fiduciary, tax preparer, broker-dealer, or financial advisor. Neither Verde nor Finn provides professional accounting, audit, legal, tax, investment, or financial-advisory services, and no such relationship is created by your use of the Service. Verde does not:

  • Prepare, review, audit, certify, or file tax returns or financial statements;
  • Provide legal, tax, accounting, audit, or investment advice that constitutes professional services under applicable law;
  • Serve as a fiduciary for your business or its owners; or
  • Provide regulated financial planning or investment advisory services.

No content produced by the Service, and no statement by Finn, constitutes professional advice or creates a professional, fiduciary, or advisory relationship. This disclaimer survives termination of these Terms (see §15.10).

3.3 AI outputs and your assumption of risk

Finn's outputs are AI-generated and are decision support, not professional advice or a statement of fact. AI systems can and do produce inaccurate, incomplete, outdated, or fabricated outputs ("hallucinations"), including incorrect numbers, calculations, and conclusions. You acknowledge and agree that:

  • You are solely responsible for reviewing, validating, and verifying any output of the Service — including every specific figure, calculation, and conclusion — against your authoritative sources (QBO, bank statements, your accountant) before relying on it;
  • You will treat Service outputs as a starting point for your own analysis, not as a final answer;
  • You will not make any material business, financial, tax, accounting, legal, lending, investment, or regulatory decision in sole reliance on Service outputs; and
  • To the maximum extent permitted by law, you assume all risk arising from, and waive any claim against Verde based on, your reliance on any Service output. This allocation of risk is a material basis of the bargain and is reinforced by §11 (Disclaimer of Warranties) and §12 (Limitation of Liability).

3.4 Source-data accuracy

The Service reads and analyzes data from your QBO account and other sources you connect or provide. Verde does not independently verify, audit, correct, or guarantee the accuracy, completeness, or reliability of your source data. Service outputs are only as accurate as the data you supply. You are solely responsible for the accuracy, completeness, classification, and lawful maintenance of your own financial records, and Verde is not liable for outputs that are inaccurate, incomplete, or misleading because of errors, omissions, or misclassifications in your source data.

3.5 Your regulatory and reporting use

If you use any Service output in connection with a tax filing, securities or regulatory filing, audited financial statement, loan or credit application, investor communication, or any other use carrying legal, regulatory, or compliance consequences, you are solely responsible for that use and for confirming the output's accuracy and suitability with your licensed professional. Verde disclaims all liability arising from such use.

3.6 Beta and evolving features

Verde may offer features identified as "beta," "preview," "early access," or similar. Beta features are provided as is, without warranty of any kind, may be changed or discontinued at any time, may be less reliable than generally available features, and should not be relied upon for production or material decisions. Verde may add, modify, or remove features of the Service at any time.

4. Account and Credentials

4.1 Your account responsibilities

You are responsible for: (a) maintaining the confidentiality of your login credentials; (b) all activity occurring under your account; (c) promptly notifying Verde of any unauthorized access or suspected security incident; and (d) providing accurate, current information during signup and onboarding.

4.2 Account suspension

Verde may suspend or terminate your account if you violate these Terms, engage in fraudulent or abusive activity, or fail to pay fees when due, subject to notice and an opportunity to cure where commercially reasonable. Verde may suspend immediately and without prior notice where required to prevent harm, fraud, security risk, or legal violation.

5. Customer Data and Authorization

5.1 Your data

"Customer Data" means data you provide to Verde (account information, company name) and data Verde accesses on your behalf via QBO (your financial records, transaction history, customer/vendor data). You retain ownership of all Customer Data. Verde does not claim ownership of, or any right to use, Customer Data beyond what is necessary to provide the Service and as permitted by these Terms and the Privacy Policy.

5.2 Your authorization

By connecting your QBO account, you authorize Verde to: (a) access your QBO data via Intuit's OAuth 2.0 protocol; (b) read transaction-level, account-level, and report-level data from your QBO account; (c) store derived analyses, summaries, and reports in Verde's systems; and (d) process your data through Verde's sub-processors (including its AI sub-processor) as described in the Privacy Policy.

You may revoke this authorization at any time through your QBO settings or by disconnecting the integration in Verde. Revocation does not delete data already processed; that is governed by the Privacy Policy's data-retention provisions.

5.3 License to Verde

You grant Verde a limited, non-exclusive, royalty-free, worldwide license to access, store, process, transmit, and display your Customer Data solely as necessary to provide and support the Service. This license terminates upon termination of these Terms, subject to the data-retention provisions of the Privacy Policy.

5.4 De-identified and aggregated data

Verde may create de-identified and aggregated data from Customer Data and use it to operate, secure, analyze, and improve the Service, provided such data does not identify you, any individual, or your business. Verde will not sell such data and will not use Customer Data to train any AI model, consistent with the Privacy Policy.

6. Acceptable Use

You agree not to: use the Service for any unlawful purpose or in violation of applicable law; attempt to gain unauthorized access to other customers' data or Verde's systems; reverse engineer, decompile, or disassemble any part of the Service; use automated tools to scrape or extract Service content beyond your own Customer Data; resell, rebrand, or white-label the Service without Verde's express written authorization; submit false, misleading, or fraudulent information; or use the Service in connection with money laundering, tax evasion, fraud, or other illegal transactions.

Verde may investigate suspected violations and suspend or terminate accounts engaged in violations, with notice where practicable.

7. Payment Terms

7.1 Subscription tiers

Prices are in US Dollars. Applicable sales and other taxes may be added based on your business location.

7.2 Auto-renewal

Your subscription is an automatically renewing subscription. Unless you cancel before the end of the then-current billing period, your subscription will automatically renew for successive periods of the same length, and Verde (via Stripe) will automatically charge the payment method on file the then-current fee for the renewal term, until you cancel. Subscriptions are billed monthly on the same calendar date each month (or the last day of the month for signups on the 29th–31st). You may cancel at any time and avoid future renewal charges, as described in §7.4.

7.3 Trial period

Verde may offer a free trial. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan at the applicable tier and the payment method on file will be charged. The auto-conversion terms are disclosed before you start the trial.

7.4 Cancellation

You may cancel at any time through your account settings, without contacting Verde. Cancellation takes effect at the end of your current paid billing period; you retain access through the end of the period you have paid for. No prorated refunds are issued for partial-period cancellations, except as stated in §7.5 and §10.3.

7.5 No refunds

Subscriptions are non-refundable except as required by applicable law and except as expressly stated in §10.3 (Verde-initiated discontinuation). This includes downgrades, mid-cycle cancellations, and account suspensions due to your violation of these Terms. By subscribing, you acknowledge and accept this no-refund policy.

7.6 Price changes

Verde may change subscription prices on at least 30 days' written notice to the email on file. Changes take effect at your next billing cycle following the notice period. If you do not agree, you may cancel before the new pricing takes effect.

7.7 Failed payments

If a scheduled charge fails, Verde will retry per Stripe's standard schedule and notify you by email. If payment is not received within 14 days of the failed charge, Verde may suspend or terminate your subscription.

8. Intellectual Property

8.1 Verde's IP

Verde retains all right, title, and interest in and to the Service, including all software, designs, documentation, AI prompts, prompt engineering, models, and any model tuning performed on data other than Customer Data, branding, and trademarks ("Verde IP"). These Terms grant you a limited license to use the Service and do not transfer any ownership in Verde IP. For the avoidance of doubt, Verde's ownership of model tuning does not contradict Verde's commitment not to use Customer Data to train or tune AI models (see Privacy Policy §2 and §4).

8.2 Your feedback

If you provide feedback, suggestions, or ideas, you grant Verde a perpetual, irrevocable, royalty-free, worldwide license to use them to improve the Service, without compensation.

8.3 No reverse engineering

You may not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, prompts, or model architecture of the Service.

9. Confidentiality

Each party may receive the other's confidential information. The receiving party will: use it only as necessary to perform under these Terms; protect it with at least the same care it uses for its own confidential information of similar sensitivity (and no less than reasonable care); and not disclose it to third parties except as authorized or required by law. Verde's obligations regarding Customer Data are further specified in the Privacy Policy and (for enterprise customers) the DPA.

10. Term and Termination

10.1 Term

These Terms remain in effect from your acceptance until your subscription is cancelled (by you or Verde) and Verde's data-retention obligations under the Privacy Policy are satisfied.

10.2 Termination by you

You may terminate at any time by cancelling your subscription. Cancellation takes effect at the end of your current paid period.

10.3 Termination by Verde

Verde may terminate your account immediately if you materially breach these Terms (including Acceptable Use); if you fail to pay fees when due and do not cure within 14 days of notice; or upon discontinuation of the Service (with 30 days' notice and a prorated refund of any prepaid, unused fees).

10.4 Effect of termination

Upon termination: your right to access and use the Service ends; Verde retains your data for 90 days post-termination, during which you may request export or restoration (subject to a reactivated subscription); after 90 days, Verde deletes your data per Privacy Policy §8.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or course of performance.

Without limiting the foregoing, Verde does not warrant that: the Service will be uninterrupted, error-free, or completely secure; AI-generated outputs (Finn responses) will be accurate, complete, current, or reliable; the Service will meet your specific business needs or expectations; or data synced from QuickBooks Online will be free of source-data errors or omissions.

You assume full responsibility for verifying any output before relying on it, as set forth in §3.3 and §3.4. Some jurisdictions do not allow the exclusion of certain warranties; in such jurisdictions, the above exclusions apply to the maximum extent permitted by law.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND EXCEPT FOR THE EXCLUDED CLAIMS IN §12.3, VERDE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID VERDE FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) FIFTY THOUSAND US DOLLARS ($50,000).

12.1 Exclusion of indirect damages

IN NO EVENT WILL VERDE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; FOR LOST PROFITS, LOST REVENUE, OR LOST BUSINESS OPPORTUNITIES; FOR LOSS OR INACCURACY OF DATA (BEYOND VERDE'S OBLIGATIONS UNDER THE PRIVACY POLICY); OR FOR DAMAGES ARISING FROM YOUR RELIANCE ON AI-GENERATED OUTPUTS — EVEN IF VERDE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.2 Application

These limitations apply regardless of the theory of liability (contract, tort, statute, or otherwise), are an essential element of the basis of the bargain, and survive termination.

12.3 Excluded claims

The cap in §12 does not apply to: (a) your obligation to pay fees owed; (b) your indemnification obligations under §13; (c) either party's breach of its confidentiality obligations; or (d) liability that cannot be limited or excluded under applicable law (which may include gross negligence or willful misconduct).

12.4 Allocation of risk

You acknowledge that the fees reflect the allocation of risk in these Terms and that Verde would not provide the Service at these prices without these limitations.

13. Indemnification

13.1 By Customer

You will defend, indemnify, and hold harmless Verde, its officers, directors, employees, and agents from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms or applicable law; (b) your use of the Service outside the scope of the license granted; (c) your Customer Data, including any claim that it infringes third-party rights or was supplied without necessary rights or consents; and (d) decisions you or any third party make based on Service outputs.

13.2 By Verde (IP infringement)

For customers who have executed a Data Processing Agreement or enterprise order form, Verde will defend Customer against third-party claims that the Service, as provided by Verde and used in accordance with these Terms, infringes a US patent, copyright, or trademark, and will indemnify Customer for resulting damages finally awarded, subject to the limitation of liability in §12 and excluding claims arising from Customer Data, Customer's combination of the Service with non-Verde products, or Customer's modification or unauthorized use. This is Verde's sole liability and Customer's exclusive remedy for IP infringement.

13.3 Procedure

The indemnified party will promptly notify the indemnifying party of the claim, allow the indemnifying party to control the defense (with counsel of its choice), and reasonably cooperate. The indemnifying party will not settle any claim in a way that imposes liability or admission on the indemnified party without consent.

14. Dispute Resolution and Governing Law

14.1 Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles.

14.2 Jurisdiction and venue

The parties submit to the exclusive jurisdiction of the state and federal courts located in the State of Delaware for any dispute arising out of or relating to these Terms or the Service, and each party consents to personal jurisdiction and venue in those courts.

14.3 Jury trial waiver

To the maximum extent permitted by law, each party waives any right to a trial by jury in any action or proceeding arising out of or relating to these Terms or the Service.

14.4 Class action waiver

To the maximum extent permitted by law, you and Verde each waive any right to participate in a class, collective, or representative proceeding; disputes will be resolved on an individual basis only.

14.5 Carve-out for injunctive relief

Either party may seek injunctive or equitable relief in court for actual or threatened breach of intellectual property rights, confidentiality obligations, or unauthorized access to systems.

15. General Provisions

15.1 Entire agreement and order of precedence

These Terms, together with the Privacy Policy and (where executed) the DPA and any enterprise order form or master agreement, constitute the entire agreement regarding the Service. In the event of conflict, the following order of precedence governs: (1) a mutually executed enterprise order form or master agreement; (2) the DPA, for data-protection matters; (3) these Terms; (4) the Privacy Policy.

15.2 Modifications

Verde may modify these Terms by updating the effective date and posting the revised Terms, and by notifying active customers by email at least 14 days before material changes take effect. Continued use after the effective date constitutes acceptance.

15.3 Notices

Verde may send notices to the email associated with your account. You may send notices to legal@useverde.ai or Verde's registered office.

15.4 Assignment

You may not assign these Terms without Verde's prior written consent. Verde may assign in connection with a merger, acquisition, sale of assets, or by operation of law.

15.5 Severability

If any provision is unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or severed, and the remaining provisions continue in full force.

15.6 No waiver

A party's failure to enforce a provision is not a waiver of its right to enforce it later.

15.7 Force majeure

Neither party is liable for delays or failures caused by events outside its reasonable control (natural disasters, government action, internet or utility outages, sub-processor failures beyond commercially reasonable mitigation, etc.).

15.8 Independent contractors

The parties are independent contractors. These Terms create no partnership, joint venture, employment, or agency relationship.

15.9 Electronic acceptance

These Terms may be accepted electronically; electronic acceptance has the same legal effect as a signed paper copy.

15.10 Survival

The following survive termination: §3.2 (professional disclaimer), §3.3 (no-reliance), §3.4–§3.5 (data accuracy and regulatory use), §5.1 (data ownership), §8 (IP), §9 (confidentiality), §11 (warranty disclaimer), §12 (limitation of liability), §13 (indemnification), §14 (dispute resolution and governing law), and §15 (these general provisions), together with any provision that by its nature should survive.
